The Annual General Meeting of KuibyshevAzot PJSC shareholders

The Annual General Meeting of Shareholders of KuibyshevAzot, PJSC was held in June 19. Due to unfavorable epidemiological situation, the meeting was held in the format of absentee voting. The shareholders registered in the register of shareholders as of May 25, 2020, participated the Meeting. They represented 95,96 % of the Company’s shares.

The General Meeting of Shareholders of KuibyshevAzot PJSC approved the annual report, the annual financial statements, including the profit and loss statement and profit distribution report based on the results of the financial year. In addition, during the meeting, amendments were approved to the Regulations “On the General Meeting of Shareholders of KuibyshevAzot PJSC” and “On the Board of Directors KuibyshevAzot PJSC”.

The Meeting of Shareholders approved the distribution of profits according to the results of 2019. In addition to the dividends declared and paid earlier based on the results of the first half and 9 months of 2019 a decision was made not to pay dividends.
Thus, the dividends based on the operation results of KuibyshevAzot PJSC in 2019 amounted to 2 rubles per ordinary share and 2 rubles per preferred share.

The General Meeting elected a new Board of Directors. Based on the results of voting, the Board of Directors of KuibyshevAzot PJSC includes:

— Sergey V. Bobrovsky;
— Andrey N. Bylinin;
—Viktor I. Gerasimenko;
— Ludmila I. Kudasheva;
— Victor P. Kudryavtsev;

— Konstantin G. Rachin;
— Dmitriy V. Rybkin;
— Sergey A. Tumanov;
— Yuriy G. Shulzhenko.

Viktor I. Gerasimenko was chosen the Chairman of the Board of Directors at the first Board Meeting, which took place in June 22, 2020 after Annual General Meeting of Shareholders of KuibyshevAzot PJSC.
